Terms of Service

These Terms of Service ("Terms") govern your use of Textiton, a relationship-based SMS messaging platform operated by Textiton, Inc. ("Textiton," "we," "us," or "our"), an Indiana corporation with offices at 2471 E 1250 N, Alexandria, IN 46001.

By using Textiton, you agree to these Terms. If you do not agree, do not use the service.

1. What Textiton is

Textiton is a software platform that enables community organizations, civic campaigns, schools, chambers of commerce, faith communities, senior communities, small businesses, and other groups ("Originators") to send opt-in SMS messages to their members and to receive replies. Textiton is built on the principle that messaging should be relationship-based, trusted, and consent-driven. We do not sell advertising, share user data with marketers, or operate algorithmic feeds.

2. Account types and roles

Originator accounts — paid accounts held by organizations or individuals who create and send SMS broadcasts to their own members. Originators agree to comply with all SMS sending laws, carrier rules, and Textiton policies.

Member accounts — free accounts held by individuals who receive SMS messages from Originators they have explicitly opted in to. Members may share messages with their own contacts and may become Originators themselves.

By creating either account type you represent that you are at least 18 years old, can form a binding contract under U.S. law, and provide accurate and current information.

3. Permitted use

You may use Textiton only for lawful purposes and in accordance with these Terms. Specifically:

  • Originators may send SMS messages only to recipients who have explicitly opted in to receive messages from that Originator.
  • Originators must honor every opt-out request immediately and permanently.
  • Originators must comply with the CAN-SPAM Act, the Telephone Consumer Protection Act (TCPA), the FCC's A2P 10DLC requirements, all applicable state communication laws, and the rules of the wireless carriers.
  • Members may share messages with their own contacts only when those contacts have a real-world relationship with the Member.

4. Prohibited content and conduct

The following are strictly prohibited on Textiton:

  • Unsolicited messages to people who have not opted in
  • Harassment, threats, doxxing, or targeted abuse of any individual or group
  • Hate speech, calls to violence, or content that endangers minors
  • Misleading content, impersonation, deepfakes, or fraudulent messaging
  • Phishing, malware, fraudulent links, or content that promotes illegal activity
  • Adult content, sexually explicit material, or content marketed to minors
  • High-risk content categories prohibited by U.S. wireless carriers including gambling solicitations, illegal firearm sales, illegal drug sales, multi-level marketing schemes, payday lending, and "Sex, Hate, Alcohol, Firearms, Tobacco" (SHAFT) content, except as expressly permitted by applicable law and carrier policy
  • Buying, selling, renting, or sharing phone lists you do not own and have not received explicit consent from
  • Circumventing or attempting to circumvent the "NOT FOR ME" opt-out reply or any other safety feature

Violations may result in immediate account suspension or termination.

5. The "NOT FOR ME" reply

Textiton reserves the reply phrase NOT FOR ME as a universal opt-out for all Members. When a Member replies "NOT FOR ME" to any Textiton message, we instantly stop further messages and ask the Member which level of opt-out they wish (the specific message, the Originator, the friend who shared it, both, or all of Textiton). Originators may not penalize, retaliate against, or contact a Member who has opted out through any means.

6. Subscription and billing (Originators)

  • Originator accounts are billed on a subscription basis (monthly or annual).
  • Pricing is shown at signup and may be updated with at least 30 days notice for existing subscribers.
  • Subscription fees are charged in advance and are non-refundable except where required by law.
  • We use Stripe, Inc. to process payments. You agree to Stripe's terms when you submit billing information.
  • You may cancel at any time from your account dashboard. Cancellation takes effect at the end of the current billing period.
  • Sales tax may be added based on your jurisdiction. We use Stripe Tax to calculate and collect applicable taxes.

7. Phone numbers and SMS costs

  • SMS messages are sent through licensed telecommunications providers (currently Twilio, Inc. and/or Telnyx LLC).
  • Carrier fees, A2P 10DLC fees, and per-message charges are included in your Originator subscription up to your plan's monthly message allowance. Usage beyond the allowance is billed separately.
  • Phone numbers issued to Originators are leased from telecom providers and remain the property of the telecom carrier. You do not own the number; you have a right to use it while your subscription is active.

8. Member data and privacy

Member phone numbers are confidential and are not shared with other Originators, Members, advertisers, or third parties except as required to deliver messages or comply with law. Originators may not export, copy, or sell their Member lists. Full details are in our Privacy Policy.

9. Content ownership

You retain ownership of the content you create (messages, profile information, images). By posting content to Textiton you grant Textiton a non-exclusive, worldwide, royalty-free license to host, transmit, display, and deliver that content as necessary to operate the service. You represent that you have the rights to all content you submit.

10. Suspension and termination

We may suspend or terminate any account at any time, with or without notice, if we reasonably believe the account has violated these Terms, is engaged in fraud or abuse, or is subject to a credible carrier or legal complaint. We will provide reasonable notice and an opportunity to cure where practical, except in cases involving safety, fraud, or carrier mandate.

11. Service availability

Textiton is provided "AS IS" and "AS AVAILABLE." We do not guarantee uninterrupted service, error-free delivery of SMS messages, or that messages will reach every recipient. SMS delivery depends on third-party carriers and is subject to factors outside our control.

12. Disclaimers and limitation of liability

To the fullest extent permitted by law:

  • Textiton makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • Textiton is not liable for any indirect, incidental, special, consequential, or punitive damages.
  • Textiton's aggregate liability to you for any claim relating to the service is limited to the amount you paid Textiton in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify and hold Textiton, its officers, employees, and contractors harmless from any claim, loss, or expense (including reasonable attorneys' fees) arising from your use of the service, your content, or your violation of these Terms or applicable law.

14. Governing law and disputes

These Terms are governed by the laws of the State of Indiana, without regard to conflict-of-laws principles. Any dispute will be resolved exclusively in the state or federal courts located in Madison County, Indiana, and you consent to that jurisdiction.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email or SMS at least 30 days before they take effect. Continued use of Textiton after changes take effect constitutes acceptance.
